Games Entertainment Topics IGN IGN It’s official: Twitter sues Elon Musk to complete the deal

Twitter is following its promise to sue Elon Musk, filing a lawsuit against billionaire CEO Tesla and SpaceX in a Delaware court. Twitter says it wants Musk to follow through on the deal and “be asked for further breaches, ordered to comply with its work obligations to meet the few closing conditions, and ordered to close when those conditions are met.” .

The scathing complaint calls Musk a “model of bad faith” and claims he is trying to pass on the costs of the recent stock market crash to shareholders. Twitter also dismissed Musk’s claims that the social media giant failed to fulfill its part of the deal as pretexts that have no merit.

“After putting on a public show to put Twitter into play, and after proposing and signing a merger agreement in favor of the seller, Musk apparently believes that he, unlike all other parties subject to contract law of Delaware, is free to change its mind, leave the garbage. company, disrupt its operations, destroy shareholder value and leave, “the lawsuit says.

In response, Musk tweeted, “Oh, the irony lol.”

The lawsuit follows Twitter president Bret Taylors’ promise to sue Musk, saying the company is confident it will go to court. Musk, meanwhile, has claimed that Twitter is overshadowing the actual number of spam bots and fake accounts it supports.

Musk first made a $ 44 billion offer to buy Twitter in April. He seemed to feel the buyer’s remorse immediately after accepting the deal, alleging that Twitter was failing to meet its obligations and claiming the company breached the contract. Twitter, meanwhile, steadily moved forward with the deal, unanimously recommending that shareholders vote in favor of the merger.

Twitter is seeking a four-day trial in September, with a deadline of October 24 for the deal to be completed.
